Director of The Bellevue Baptist Church Board of Directors, 2005/06

 This letter is to inform you that pertaining to Tennessee State Code

section  48-66-101, a request has been made for the following documents:

 

* Monthly Finance Committee Meeting minutes for the last two years.

* Congregational Business Meeting minutes for the last two years.

* A current Bellevue Baptist Church membership list.

  

A request was made to the Chairman of the Board of Directors as well as the

Pastor's Office.  The request has been denied and we consider the lack of

response from the Senior Pastor, Office of Administration, and the Board of Directors to be cause for further action.  

We believe the duties of the Board of Directors include the following:

 

* Board of Directors must fulfill the “duty of care” by attending

regularly scheduled meetings of the Board. To fulfill this obligation

directors must be reasonably informed and must participate in decisions in

good faith with the care of a prudent person.

* Each Director should not base his vote solely on the positions of

others. Decisions must be in the best interests of the organization.

* The Directors must also establish governance policies to insure the

best interests of the church body.

* Each Director should be actively involved and serve the church

public rather than a limited group of individuals.

* Each Director should be careful to ensure that no employee of the

church is receiving “private inurement.”

 

We believe the Board of Directors has not been compliant with their

expected duties in employment-related issues such as harassment, wrongful

termination, allowing the issue of inurement to come into question,

mismanagement of church assets, and has not been informed nor participated

in good faith in the duties of being a member of the Board of Directors.

 Directors are supposed to be fiduciaries of the church, responsible for

managing the affairs of the church. We believe you must act with due

diligence in carrying out your responsibilities. If any negligence has

occurred, we believe there may be some personal liability in effect.

 

As the church body includes many donors to Bellevue Baptist Church, we

believe contributions have been wasted and have not been used to advance

the purposes of Bellevue Baptist Church, as stated in its charter.

 

We believe there are senior leaders who have slandered individual members

of Bellevue Baptist Church.

 

These are serious concerns that beg immediate action. In light of the

cavalier attitude exhibited by the Senior Executive Pastor, David Coombs,

this letter puts each Board of Director member individually on notice of

further and immediate action to remedy the request.
